To register as a Corporate Adviser, Solicitor or Accountant all you need do is to:
- complete a simple on line registration form
- agree to a self-certified sophisticated investor statement
- accept our Terms & Conditions
Registering as an Adviser is free of charge.
Having accepted our Terms and Conditions and agreed to a self-certified sophisticated investor statement a user name and password and a self-certified sophisticated investor certificate is, upon approval, forwarded to your email address. This email message also lists instructions as to how to place your client companies' overviews and related documents on the web site.
Once registered there are no restrictions as to the number of your client companies you wish to display on the web site at any one time.
The maximum number of documents that can be displayed per client company is five. Examples of the type of documents that Corporate Advisers, Solicitors or Accountants typically submit on behalf of their clients are:
- executive summaries
- business plans
- prospectuses with application forms
- private placement memoranda (with or without application forms)
- company brochures
- press releases and/or press cuttings
All company documents appear on the FiSMA web site in PDF format.
You are able to choose the time period that you wish your client company's documents to be displayed and have an option to extend this period on the expiry date. (View price list.)
In addition to the documents displayed there is a facility to provide an overview of each of your client companies' business proposals. This overview acts as an introduction to their company and will appear in HTML format on their company page. Except in the instances when you wish to display a prospectus, pathfinder prospectus or private placement memorandum with an application form each of your client company pages will also incorporate a discussion board. These discussion boards allow potential investors to submit questions relating to the respective documentation displayed. When questions are posted to one of your client company's discussion boards both you and your client will receive a notification, via email, informing you that either you or your client need to visit the discussion board and provide a reply.
Once your client company's documents are activated on the FiSMA web site both you and your client will be able to track the number of times that their company web page and displayed documents have been viewed by FiSMA registered investors.
If, as a Corporate Adviser, Solicitor or Accountant you choose to place documents on the FiSMA web site on behalf of your clients then you will have the responsibility for:
- payment of the FiSMA web site display charges (either via invoice or a credit card).
- forwarding documents to FiSMA for inclusion on your client companies' pages.
- coordinating replies to questions placed on your client companies' discussion boards by potential investors.
- deciding whether to extend your client companies' display periods as and when their expiry date approaches.
You have a choice as to whether your or your client's contact details appear on their web page. It may be that you wish all investor contact to be via your firm in which case your clients details will be restricted to the name or description of their company, the amount being raised, minimum subscription amount, geographical region and financing stage.
On the other hand, particularly if you are not an Authorised Person, you may wish for all contact by investors to be channelled directly to your client in which case you may choose for their contact details to be displayed while your own are hidden from view.
Registered advisers have access to an email notification feature. This feature allows you to set preferences of all new companies being added to the web site regarding:
- geographical areas
- business sector
- frequency of email notification
Once your preferences are confirmed you will receive automated email notifications when other companies that match your preferences are added to the web site. Your preferences may be adjusted at any time.
As a registered Adviser you may place an advertisement for your services, which takes the form of your firm's logo, a short explanatory text and a link to your own web site, on FiSMA. Adviser advertisements are listed alphabetically and searchable by geographical locations. (View Adviser locations.) Placement of these advertisements is free of charge. Please contact us at admin@fisma.org to arrange your firm's advertisement and web link.
Once registered as an Adviser you will receive a self-certified sophisticated investor certificate. This certificated is valid for one year from the date that you agreed to the sophisticated investor statement as part of the registration process. The certificate is both print and email friendly and can be easily renewed, at any time, via the FiSMA web site.
FiSMA generated self-certified investor certificates can be used for financial promotions outside of the FiSMA arena if the holder so wishes. |
