Company definitions
By registering as a Company you may place documents on the FiSMA web site that relate to your company's fund raising activities independently without the assistance of a Corporate Adviser, Solicitor or Accountant.
The maximum number of documents you can display is five. Examples of the type of documents that companies typically submit are:
- executive summaries
- business plans
- company brochures
- press releases and/or press cuttings
- prospectuses with application forms
- private placement memoranda (with or without an application form)
All company documents appear on the FiSMA web site in PDF format.
You choose the time period that you wish your documents to be displayed for and have an option to extend this period on the expiry date.
In addition to the documents displayed there is a facility to provide a brief overview of your company's business proposal. This overview acts as an introduction to your company and will appear in HTML format on your company page. (View sample web page.) Except in instances where a company displays a prospectus, each company page will also incorporate a discussion board. This discussion board allows potential investors to submit questions relating to the documentation displayed. When questions are posted to your discussion board you will receive a notification, via email, informing you that you need to visit your discussion board and provide a reply.
Once your company's documents are activated on the web site you will be able to track the number of times that your web page and each of your displayed documents have been viewed by FiSMA registered investors.
Although FiSMA's policy is to encourage companies to use suitably qualified advisers to assist in placing documents on the web site companies may do so independently without the assistance of an adviser if they so wish.
If you choose to independently place documents on the web site then you will have the responsibility for:
- payment of the FiSMA web site display charges (via credit card on line)
- forwarding documents to FiSMA for inclusion on your company page
- replying to questions placed on your discussion board by potential investors
- deciding whether to extend your company display period when the expiry date approaches.
You should be aware that your contact details will be listed on your company page and that FiSMA registered self-certified high net worth and sophisticated investors are therefore invited to make direct contact with you.
To register your company and place documents on the FiSMA web site all you need do is:
- complete a simple on line registration form
- accept our Terms & Conditions (and in particular your attention is drawn to clause 9 dealing with fees).
- attach file of company business proposal overview
- complete credit card information and submit.
A user name and password is then forwarded to your email address listing instructions on how to place your company documents on your company web page.
